Securities and Capital Markets.  Representing underwriters, placement agents or issuers (foreign and domestic) in connection with public and private offerings, ranging into the hundreds of millions of dollars. In addition to these offerings, the firm represents issuers, shareholders, directors and officers, broker-dealers and other market professionals in connection with compliance with reporting, registration and other requirements under federal and state securities laws.

PIPEs and Alternative Investments.  The PIPEs Group at Kelley Drye consists of some of the foremost practitioners in the field of alternative investment structures, representing investors, investment banks, companies, underwriters, placement agents, hedge funds, SBIC funds and private offices in the structuring, negotiation and developments of PIPEs (Private Investments in Public Equity), registered direct offerings, CMPOs (Confidentially Marketed Public Offerings) and other related products.

Finance and Lending.  Representing U.S. and non-U.S. financial institutions, their holding companies and affiliates and major non-bank financial companies across the spectrum of permissible bank and non-bank activities. Such activities have included bank and commercial lending, secured and unsecured lending, asset-based lending, leasing, project finance, structured finance, asset securitization, debt and equity securities offerings, trust services and regulatory counseling and representation before federal and state agencies. Kelley Drye also represents non-financial corporate clients in all of their lending and borrowing requirements, including unsecured and asset-based lending, leasing and securitized transactions.

Mergers and Acquisitions.  Helping a broad range of U.S. and non-U.S. industrial corporations and financial institutions in transactions involving mergers and acquisitions, across a broad range of industries and businesses. Kelley Drye attorneys most often are called into transactions at an early stage and so they can provide advice regarding the development of strategies for achieving our clients’ business objectives, structuring the transaction and addressing financing arrangements, when required.

Private Equity and Venture Capital.  Representing venture capital, private equity and other investment funds investing in or acquiring portfolio companies, as well as companies seeking capital from such funds. Clients appreciate the business sense, availability, responsiveness and the consistently efficient and cost-effective services provided by the firm’s private equity lawyers. Kelley Drye partners stay involved in day-to-day interactions with each client and are available to resolve issues and accelerate progress to closing each transaction related to that client’s business.

Project Finance.  Providing clients with legal advice and assistance in connection with the structuring, financing and implementation of complex foreign and domestic energy, infrastructure, telecommunications, natural resources, environmental, and industrial projects and transactions. These projects have involved project and limited recourse financing and other asset-based financing techniques, such as leveraged leases, BOO/BOT and securitization structures. The firm’s attorneys have performed matters on behalf of sponsors, lenders, lessors, rating agencies, equity investors, financial advisors and foreign sovereigns.
