Wendy Clarke brings a range of unique and value-adding perspectives to her corporate, finance, and securities law practice. She complements her extensive knowledge of applicable laws and regulations with an appreciation of her clients’ pressure points and priorities and a financial fluency that allows her to effectively identify issues and craft approaches to achieve their business objectives.

Wendy represents a broad range of clients, including global companies, private equity funds, and other entities in connection with mergers and acquisitions, dispositions, debt and equity financings, project and bond financings, and more.

Clients rely on her knowledge and thoughtfulness in navigating general corporate governance matters. She also counsels broker-dealers in regulatory and transactions matters. Wendy advises clients across a wide range of industries, including healthcare, telecommunications, consumer and retail, financial institutions, and information technology.

Before embarking on her legal career, Wendy amassed an impressive and diverse scope of private and public sector experience. This experience informs and enhances her ability to work seamlessly with her clients’ in-house business and legal teams, persuasively negotiate and efficiently shepherd transactions to consummation, and protect her clients’ interests. She understands what her clients need from outside counsel because she has stood in their shoes during her tenure as a government executive.

Wendy can synthesize financial and legal issues to provide her clients with a holistic view of corporate and transactions matters, ensuring they achieve their objectives while remaining flexible and results-oriented. Wendy also served as an administrator in various capacities for the City of New Haven, Connecticut, where she oversaw municipal project development and financing instruments, among others.

Since her practice often involves interacting with and addressing the concerns of regulators and other governmental authorities, Wendy’s government experience helps her see things from their perspective and formulate approaches designed to avoid or resolve problems.

Wendy clerked at the U.S. Securities and Exchange Commission during law school, working on special projects in the Division of Enforcement. Her hands-on SEC experience is yet another of her many assets that serve her clients well.
