With more than 40 attorneys handling real estate transactions in our offices across the nation, as well as colleagues in tax, litigation, bankruptcy and restructuring, financial institutions, ERISA and regulatory compliance who focus on real estate matters, our team provides comprehensive legal services to all of our real estate finance clients.
Our Real Estate team handles:
Financing. Our attorneys represent insurance companies, CMBS lenders, funds, commercial banks and other institutional lenders, as well as owners and developers, in construction and permanent mortgage loan transactions, sale-leasebacks and other forms of real estate financing, involving all property classes and types, including office buildings, shopping centers, hotels and resorts, industrial properties and apartment complexes. We represent numerous leading capital markets lending platforms in the origination of large volumes of mortgage loans intended for securitization as well as mezzanine loans, A/B note structures, participations and other complex structured finance projects. Our team’s respected CMBS origination platform actively develops structures and strategies with lenders, as well as partnering with trade associations, to understand and interpret the burgeoning regulatory landscape both nationally and globally.
Acquisitions and Dispositions. We represent major financial institutions and other investors and owners in connection with joint ventures and the acquisition and disposition of all types of real property, including office buildings, apartment complexes, hotels and resorts, hospitals, shopping centers and industrial complexes located throughout the United States. We have successfully represented real estate equity funds of several Wall Street investment banking firms in the acquisition and sale of numerous properties, as well as private developers and investors in acquisitions and sales involving a variety of real estate product types.
Credit-Tenant Leasing Transactions. Our team is a leader in the credit-tenant leasing market, in transactions spanning all property types—corporate headquarters and other principal offices, distribution facilities, financial trading floors, and multi-property pools of banking and various retail properties—and with an aggregate value in the billions of dollars. We represent clients that include lessors; credit-tenants; loan originators (both financings to be held in our clients’ portfolios, and those for immediate sale through private placement and other securitization vehicles); purchasers of securitized loan interests; and major residual value insurers in all aspects of these transactions. We handle traditional sale-leaseback transactions, as well as in the emerging market of financing credit tenant leases that do not qualify as “bondable.”
Loan Workouts and Real Property Litigation. We work with financial institutions, servicers and other investors in workouts and loan restructurings and in litigation involving distressed real estate. Our litigation and transactional teams work together seamlessly to provide clients with strategic and comprehensive legal counsel that is process-savvy and results-oriented.
Leasing. Our attorneys advise both landlords and tenants in connection with commercial leasing, including office, retail and industrial space. Our clients include international and U.S.-based banks, national retail operators, insurance companies and companies in the entertainment, food and hospitality sectors.
Not-For-Profit Corporations. We represent a variety of not-for-profit hospital, educational, religious and other institutions in the acquisition, development, financing and leasing of their properties throughout the United States.
