Daniella Carelli’s practice focuses on corporate and securities law, including private offerings, mergers and acquisitions, and general corporate governance. She works closely with public and private companies, investors, and financial institutions, helping them to navigate regulatory and compliance challenges and structure transactions to meet their business needs.

Prior to joining Kelley Drye, Daniella worked for nearly 10 years as outside counsel to clients in the consumer products sector—over 40 active early-stage and established food, beverage, beauty, and tech brands. In this role, she led on the negotiation and execution of a variety of commercial contracts, including license, endorsement, and royalty agreements; commercial and equipment leases; manufacture, supply, and distribution agreements; and governance documents for a range of business structures (shareholders’ agreements, bylaws, charters, operating agreements, joint ventures, SVPs, equity incentive plans/grants, resolutions and minutes, put/call option agreements, registration rights agreements, legal opinions, etc.). She served as an expert on industry terms for key consumer packaged goods partners (Whole Foods, Kehe, UNFI, national DSDs, and SGWS) and was the lead attorney for equity and debt financings (e.g., common and preferred/Series A equity, SAFEs, convertible notes, bank loans, lines of credit, and revolvers).

In this role, Daniella also advised and communicated with clients on day-to-day operations and corporate governance (e.g., labor relations, dispute resolution, privacy policies, incentive equity issuance, event planning, compliance, sweepstakes, board matters, and voting rights) as well as long-term goals (company sales, valuation, product expansion, and financing needs). She also worked to settle disputes related to production issues, payment matters, breach claims, equity promises, and investor claims, and negotiated and drafted company sale documents for stock and asset sales, mergers, acquisitions, reorganizations, conversions, and similar transactions.
