Emily Varges is a senior associate in the firm’s Corporate practice group and assists publicly traded, privately held and family-owned businesses in a variety of commercial and transactional matters. Emily also is a member of the firm’s Technology Transactions and Sourcing group and regularly works on transactions in those areas. Her practice focuses on counseling clients on issues involving formation, operation and governance, as well as negotiating, documenting and reviewing a wide range of business and commercial contracts.

Emily also handles a variety of corporate transactions, including mergers, acquisitions and reorganizations, among other commercial matters.

Emily represents buyers and sellers in stock, asset, merger and joint venture transactions in myriad industries including telecommunications, aerospace, automotive, transportation, insurance, manufacturing and advertising/public relations.

Family Office Reorganization: Part of a team that coordinated and managed reorganization of approximately 50 entities, including domestic and foreign conversions, assignments of interests, recapitalization, liquidation and dissolution of such entities.

Part of a team that managed, negotiated and coordinated closings for marketing and public relations agency in asset purchase and merger transactions.

Drafted a number of marketing and consulting agreements, contest terms and conditions, website terms and conditions and confidentiality agreements, including assisting marketing agency in the creation of an international contest program.

Part of a team that represented a television producer in negotiations with on-camera talent and television network in connection with the filming of pilot episodes for new television series.

Part of a team that represented telemedicine startup in formation of entities, including analysis of state corporate practice of medicine doctrine, medical licensing and qualification statutes in New York, New Jersey, Nebraska, Hawaii, Michigan and Florida.

Assisted in drafting the documentation of the transfer of ownership of intellectual property from a foreign affiliate to a U.S. company, including independent contractor services agreement, intellectual property assignment and proprietary information and inventions agreements.

Researched, analyzed and summarized legal requirements in connection with client’s technology-driven initiatives, including researching issues related to data security.
