For each transaction, we create a multidisciplinary deal team with the right mix of legal and regulatory acumen, experience in sophisticated transactions, and understanding of your business and industry.  Our Mergers and Acquisitions attorneys are well versed in all types of corporate transactions―mergers, acquisitions, buyouts, asset exchanges, divestitures, alliances, joint ventures and other corporate transactions.

Our deal teams work to know and understand each client’s business, strategies and goals―both for the transaction at hand and down the road.  We reinforce transactions teams with practitioners with deep industry knowledge in highly regulated sectors such as telecommunications, space satellites, banking and financial services, health care, technology and outsourcing, manufacturing, energy and transportation, to name a few.  And to meet the demands of each client’s specific matter, we include attorneys with proficiency in a variety of other legal and business areas―tax, antitrust and trade regulation, securities law, environmental law, labor law, employee benefits, intellectual property law and real estate.

Acquisitions.  We help both domestic and foreign clients acquiring U.S.-based businesses, whether through stock, asset or merger structures, and whether leveraged or not.

Divestitures.  Clients contemplating divestitures look to our team for comprehensive advice in all aspects of these deals, from data rooms, information memoranda and documenting requests for bids to confidentiality agreements as well as negotiating and drafting documentation. Our focus on middle market companies translates to a wealth of experience in handling exit transactions for founders or families selling their interests in companies they created, and the unique issues and agreements relevant to them.

Strategic Alliances.  Our team understands the importance of executing strategic alliances and joint venture transactions across a broad range of industries. Where these arrangements diverge from traditional deals—especially where technology or other intellectual property assets are involved—we pay particular attention to both the domestic and cross-border intellectual property that might arise. 

Corporate Defense.  We provide defensive strategies in hostile offer scenarios, including so-called poison pills and shark repellents for public companies.

International Transactions.  We advise both U.S.-based and internationally based companies in cross-border acquisitions, dispositions and strategic alliances. Our lawyers have extensive experience in obtaining regulatory clearances from the Committee on Foreign Investment in the United States (CFIUS) and other regulatory agencies.
