Victoria Anderson focuses her practice on employee benefits and executive compensation – namely, qualified and non-qualified retirement plans, deferred compensation arrangements under 409A, 457 plans, 403(b) plans, and health and welfare plans.  She also offers broad skill in advising on the legal compliance issues with respect to HIPAA.  Additionally, she has extensive experience with church plans.

Victoria represents public and private companies on benefits issues related to mergers and acquisitions, with an emphasis on post-transaction plan integration, golden parachute analysis (280G), and executive compensation issues (e.g., 409A).  She regularly negotiates employment agreements and structures compensation and severance arrangements.  She has advised numerous clients on incentive plans, executive awards, reasonable compensation issues, and funding benefits through rabbi trusts for both for-profit and not-for-profit companies.

Notably, Victoria is experienced in retirement, health, and welfare plan issues unique to religious organizations, and works regularly with non-ERISA church plan committees on issues unique to their benefit plans.  She has thorough knowledge of HIPAA’s Privacy and Security Rules and provides practical advice on HIPAA compliance and breach notification issues to both covered entities and business associates.

Victoria regularly advises clients on compliance with reporting and filing requirements under ERISA, the Internal Revenue Code, DOL, PBGC, and the securities laws.  She counsels on fiduciary and plan funding issues and provides audit support.  She regularly consults with her clients on plan redesign so that her clients can offer competitive benefits to their employees, as well as early retirement window and severance programs, with an emphasis on appropriate employee communication.  Moreover, she counsels clients on withdrawal liability from multiemployer plans and plan terminations.  She has succeeded in obtaining a favorable private letter ruling from the IRS on a qualified plan issue.
