Pamela Bruzzese-Szczygiel focuses her practice on corporate and banking law matters. Pamela advises leading financial institutions on domestic and cross-border financing transactions in a variety of industries.

Pamela represents major financial institutions acting as corporate trustees, administrative agents, collateral agents and escrow agents in a wide variety of capital markets transactions, including issuances of new debt, securitizations, restructurings, defaults and bankruptcies. She advises trustees in connection with the issuance by major foreign and domestic corporations of new securities, including standard notes, bonds and debentures, and in complex transactions involving trust preferred securities and equity units.

Through the wide network of institutions that she represents, Pamela is able to assist trustees in locating successors and effectuate smooth transitions when resignations are necessary due to conflicts. When issuers default on their securities, Pamela represents trustees in connection with such issues as noteholder committees, restructuring transactions and bankruptcy and insolvency proceedings in the United States and abroad, including Mexico, Germany, Canada, England and Luxembourg.

Represented an indenture trustee in connection with a plan of compromise and arrangement in Canada (with a related Chapter 15 proceeding in the United States), providing for the restructuring of almost $400 million of notes into almost $300 million of new notes in two tranches, secured by various assets of the debtors, including real property and plants and new common stock.

Represented an indenture trustee in connection with over $1 billion of secured notes in a bankruptcy proceeding involving various levels of secured and unsecured debt and resulting litigation.

Represented an investor in the restructuring and subsequent sale of over $1 billion of debt.

Represented an administrative agent in the restructuring of an existing credit agreement and the incurrence of additional debt under a new, priority credit agreement sharing the same collateral, which included real property in various states and related facilities.

Represented a trustee in connection with the restructurings of two deals due to the nationalization of oil projects in Venezuela.
