Representative Experience
Provides general corporate advice with respect to organization and governance of health care corporations, establishment of holding companies and networking arrangements and various managed care, affiliation, joint venture and other contractual arrangements involving health care entities, as well as representation of health care entities in numerous transactional matters.

Represented four different tax-exempt hospital corporations in each of their acquisitions of the assets of proprietary hospital corporations.

Represented a multi-provider health care corporation in its acquisition of the assets of a not-for-profit nursing home corporation.

Represented not-for-profit health care corporations in the sale of hospital and nursing home assets to other health care corporations.

Represented a not-for-profit hospital corporation in a statutory merger with another not-for-profit hospital corporation.

Represented a long-term care facility in its study of a proposed expansion into a continuing care retirement community.

Represented a group of health care corporations in their proposed establishment of a health maintenance organization.

Represented the establishment of hospital and nursing home corporations and various related service corporations and in the application for tax-exempt status for those corporations.

Represented a number of different hospital and nursing home corporations in financings and refinancings through tax-exempt bond offerings of the New York State Medical Care Facilities Finance Agency and the Dormitory Authority of the State of New York.

Represented a multi-hospital and nursing home corporation in a public offering of $13 million of its First Mortgage Bonds.
