Kelley Drye’s [Corporate Finance and Securities](/Our-Practices/Transactional/Securities-and-Capital-Markets) Practice Group has prepared a client advisory which provides guidance on Delaware’s requirement that merger agreements contain fiduciary out exceptions to no-shop clauses. The advisory discusses a recent case in the Delaware Court of Chancery which limits the applicability of the fiduciary out requirement in certain circumstances.
