# Kelley Drye Represents Access Integrated Technologies in Corporate Transactions

Kelley Drye represented Access Integrated Technologies in connection with an exchange offering and its PIPE transaction. With respect to the exchange offering, holders of approximately $4.2 million aggregate principal amount of outstanding notes of AccessIT exchanged their notes for, at each holder’s election, either restricted shares of the company’s common stock or a new convertible note of the company’s convertible into shares of AccessIT common stock. In the PIPE transaction, AccessIT raised approximately $4.9 million in connection with the offering of shares of its common stock and warrants to purchase shares of its common stock.
