# Kelley Drye Advises iMerit in Its Sale to EXLService Holdings, Inc.

Kelley Drye & Warren LLP represented iMerit in connection with its sale to EXLService Holdings, Inc., a global data analytics and digital solutions company, in a transaction valued at $310 million. The transaction closed on July 31, 2026.

iMerit provides data annotation and AI training data solutions to support machine learning and artificial intelligence applications across industries, including healthcare, autonomous vehicles, and geospatial technology.

EXL is a global analytics and digital solutions company with revenues of approximately $2.6 billion. EXL partners with clients to improve business outcomes through data, technology, and AI-driven insights.

The corporate deal team was led by partners Deepak Nambiar and Wendy Clarke, with assistance from senior associate Sarah Fabian Maramarosy and associate Alexa Breton. Other attorneys who advised on the matter included: Andrew Lee (Tax); David Evans (Antitrust); Victoria Anderson (Employee Benefits); Mark Konkel, Alison Frimmel, and Benjamin Gilman (Labor and Employment); and Céline Guillou (Privacy and Information Security).
