# Legal Developments Concerning Transfer Agents

Securities Transfer Association’s Annual Conference

Partner Merrill B. Stone participated in a panel discussion on legal developments concerning transfer agents at the Securities Transfer Association’s Annual Conference on October 22, 2009. The conference was held at Amelia Island, Florida. Mr. Stone discussed issues relating to requests not to register a transfer of securities under Article 8 of the Uniform Commercial Code, requests by companies to register a securities transfer without proper endorsements or documentation, and the dematerialization of the securities market (*i.e.*, the efforts to discourage the use of paper stock certificates and to promote book entry registration). Mr. Stone is a member of the Legal Committee of the Securities Transfer Association.
