Our clients often rely on Kelley Drye to serve as outside general counsel and thereby to assist them with the paramount business and legal issues impacting the company.  Our team advises energy companies on the legal aspects of business ventures and transactions, which run the gamut from decisions related to the company’s corporate formation structure and governance to the financing, acquisition and disposition, and capital market participation.  We also assist energy clients on matters related to general corporate counseling, taxation, protection of intellectual property portfolios and contract negotiations, including employment, joint venture, distribution, offtake and lease agreements.

  • Served as outside general counsel for a venture firm in connection with its capital investments in various energy-related companies.

  • Represented a state power agency and created the first pilot program using a competitive procurement of electricity process.

  • Represented the shareholders of a Texas-based safety company in the sale of capital stock to a multinational energy company.

  • Served as outside general counsel for a Houston, Texas–headquartered energy solutions company, representing the company in its two multimillion-dollar equity financings.

  • Served as outside general counsel for an energy company in the registration statement for its initial public offering.

  • Represented an energy solutions company in connection with the sale of a $15 million credit facility.

  • Represented a Texas-based crude purchasing, transportation and commodities trading company in the purchase of 300,000 barrels of crude oil and condensate from a global petroleum company.

  • Represented a Texas-based oilfield services provider in connection with its issuance of high-yield debt and equity units.

  • Represented an Ohio-based energy services firm and a Chicago-based technology firm in alternative public offering transactions, which resulted in a reverse merger into a public shell.

  • Represented a major global aircraft manufacturer in connection with the negotiation of a powerhouse services agreement for a final assembly line located in the United States.

  • Represented a New Jersey–based project sponsor in connection with the project financing of a delayed coker/cogeneration facility located in Chile (selected as project finance “Deal of the Year” by Latin Finance).

  • Representing a developer in connection with the development and financing of several biogas renewable energy facilities.

  • Represented a global integrated oil/energy/chemical company in connection with the Calpine bankruptcy proceeding.
