Our Communications Transactions team combines extensive corporate transactional experience with a thorough understanding of the unique challenges posed by the highly regulated and rapidly changing competitive landscape.  Partnering seamlessly with practitioners from across the firm, our Communications attorneys work with buyers, sellers and investors in the communications industry to develop strategies to structure and negotiate domestic and cross-border transactions.  We have handled everything from acquisitions, reorganizations and mergers to joint ventures, transfers of control, leveraged buyouts and tender offers, as well as transactions related to bankruptcies and workouts.  Our experience encompasses transactions involving wireline, wireless and interconnected VoIP providers, both domestic and international.

We understand that, for our clients in the communications industry, these transactions are mission critical—and infinitely more complicated—than for companies in other, less regulated industries.  We help clients with the comprehensive range of issues that might arise, from core transactional issues to regulatory, consumer protection, licensing and compliance issues.  We identify potential regulatory risks and enforcement exposure, and craft solutions that are workable, practical and effective.  We provide regulatory due diligence, advise on deal structure, negotiate and draft transaction documents and opinion letters and obtain federal and state regulatory clearances and approvals.

We also guide clients through the Committee on Foreign Investment in the United States (CFIUS) notice process and the federal “Team Telecom” review and mitigation agreement process.
