Kelley Drye attorneys represent multinational clients in commercial, finance and corporate matters in Belgium and elsewhere in the EU.  We also assist clients in transactions that require expertise in both U.S. and EU law, such as when European clients look to expand in the United States or when U.S. clients seek to develop markets in Europe.

Our purpose is to help clients structure, document and implement their business transactions to align with their business objectives.  Kelley Drye services include guidance on mergers and acquisitions, counsel on cross-border strategic alliances, assistance with the incorporation process, advice on the conditions for conducting business, advice on directors’ liabilities and responsibilities and shareholders’ rights, and assistance with corporate governance issues and agreements.

We also advise clients on Belgian law and coordinate between different EU member states with respect to the restructuring or reorganization of companies.  We counsel on insolvency issues and the dissolution and liquidation of companies, as well as on transnational aspects of bankruptcy, such as the impact of a supplier’s bankruptcy on a client’s business operations.
  • Assisted a global leader in the oil and gas industry with the reorganization of its corporate structure, including mergers, demergers and coordination with external financial and tax advisors.

  • Advised a U.S.-based multinational active in the chemical sector on the relocation of a manufacturing plant and collective redundancy issues.

  • Represented a company active in the medical industry in the carve-out and sale of certain activities.

  • Represented a multinational with several strategic acquisitions in Belgium.

  • Advised one of the largest airlines worldwide in setting up their activities and corporate structure in an EU member state.

  • Advised a German electronics company in reorganizing its distribution chain.

  • Advised one of the largest technology companies in the world on their global and European strategic alliance agreements.

  • Advised a leading technology company on its acquisitions, divestitures and other corporate matters in Europe.

  • Represented a German automobile company in a series of transactions involving the divestiture of approximately $10 billion of diverse loan portfolios consisting of aircraft, ship, commercial real estate and asset-based financings.  Assisted the client with the underlying due diligence, the bidding structure and process, the negotiation and documentation of the underlying sales agreements, and the implementation of the transactions.

  • Represented a European pharmaceutical company in connection with a structured buyout of an early-stage U.S. pharmaceutical company from venture capital investors and employees.

  • Assisted a German automobile manufacturer in the establishment of a U.S. assembly plant.  This project resulted in our client receiving what was then the largest incentive package ever obtained for a new manufacturing facility in the United States.

  • Represented a U.S.-based pharmaceutical company and a Switzerland-based pharma in an acquisition of a 49 percent equity interest of the manufacturer of an anti-rabies vaccines.

  • Represented the seller of a logistics software entity to a UK publicly traded company.

  • Represented the lead investor in EUR 7.5 million France Ordinary Share and Warrant Offering in a French biotechnology company.

  • Represented a major New York Stock Exchange specialist firm in the sale of the firm to a Netherlands equity and currency dealer.

  • Represented a business and technology consulting firm in the creation of a strategic consulting alliance with a large consulting firm operating in Europe, including provision for the cross-referral of clients, cross-licensing of IP and processes for sharing knowledge capital.

  • Represented a major Japanese industrial gas company in connection with its purchase of assets and businesses in the United States and Europe relating to the sourcing and distribution of helium, including guiding the company in negotiations with the German seller and in regulatory clearances by the Federal Trade Commission and the European Commission.

  • Represented a U.S.- and European-based telecom group with respect to U.S. and Canadian acquisitions.

  • Advised public U.S. telecom company in connection with an ownership and development structure related to the construction and operation of a pan-European fiber optic network.
