Nathan Brill is an associate in the firm's Washington, D.C. office. His practice focuses on commercial transactions including real estate, mergers, acquisitions, private equity and commercial lending transactions, as well as general corporate matters.
Nathan represents purchasers, sellers and investors in a variety of asset and equity transactions both in domestic and international companies. As a component of Nathan's real estate practice, he frequently advises upscale and luxury hotel owners in the acquisition, disposition and finance of hotel properties and portfolios, and provides counsel regarding the negotiation of hotel franchise agreements and hotel management agreements. In addition, Nathan represents early-stage and established private equity funds seeking to participate or currently enrolled in the Small Business Administration's Small Business Investment Company Program and banks and specialty lenders seeking to participate in the Small Business Administration's guaranteed loan program.
Prior to joining Kelley Drye, Nathan worked at a boutique firm in Bethesda, Maryland where he concentrated his practice in business, real estate and litigation matters. His experience includes representing commercial property owners in management and ownership disputes, advising investors in the acquisition of commercial properties, assisting landowners in evaluating development opportunities and negotiating with adjoining property owners, working with purchasers and sellers of government contracting firms and advising startup businesses.
Prior to entering private practice, Nathan served as a law clerk to the Hon. Katherine D. Savage of the Maryland Circuit Court for Montgomery County.
Member of a team that supports a national hotel REIT in the negotiation of hotel management agreements, hotel franchise agreements, and otherwise provides general legal support to the companies at that management group.
Member of a team that drafted and negotiated hotel management agreements, golf club management agreements, residential licensing agreements, and other agreements to assist a luxury hotel company's first expansion into Asia.
Member of a team representing a national hotel private equity company in a $55M loan refinance with both a mortgage and mezzanine loan component.
Member of team that advised purchaser of a multi-building multi-family apartment complex, including coordination of international investment fund's participation.
