Joe Vidulich focuses his practice on the areas of real estate, real estate finance and capital markets.  Joe has particular experience with the origination, purchase/sale and securitization of commercial mortgage loans, mezzanine loans and preferred equity investments, as well as with loan restructurings.

Direct, concise and on point, Joe takes the time to identify the challenges and issues involved in any given transaction in order to identify each client’s often unique goals.  As a result, he is able to realize and execute even the most challenging client business and financial objectives.

Represents investment banks and insurance companies in connection with origination, securitization, acquisition and disposition of mortgage loans and mezzanine loans for regional shopping centers, office buildings, hotels and apartment complexes.

Represented the underwriter in connection with $325 million and $230 million offerings of bonds by affiliates of Capital Automotive REIT.

Represented the borrower in connection with the restructuring of a $640,000,000 construction loan and $150,000,000 mezzanine loan.

Represented the purchasers in connection with the acquisition of 225 branch bank properties and the assumption of existing securitized mortgage loan financing, as well as in obtaining two levels of structured mezzanine financing.

Represented a lender in connection with the origination and modification of $300 million in financing secured by time share interests, time share receivables and other assets.

Represented a financial institution in connection with the sublease of approximately 125,000 square feet of Manhattan office space.

Represented a pharmaceutical company in connection with the sale of an operating division, including real estate site separation of facilities in six foreign countries.

Represented the lenders in connection with origination, syndication and modification of a $62.8 million loan and a $15.4 million loan secured by hotels in Mexico.

Represented a lender in connection with the origination of a $480 million mortgage loan secured by 86 nursing home properties, and the subsequent securitization of the loan and modification and restructuring of the loan following securitization.
