Using his extensive experience in helping clients to appropriately manage risk while achieving their objectives, Joel Rublin focuses his practice on project development and finance, securities law, and restructurings.

With an emphasis on serving clients in the construction, energy, environmental, and financial services sectors, Joel’s varied and extensive cross-disciplinary experience, subject matter knowledge, and practical insights allow him to clear roadblocks and marshal the optimal resources to address all aspects of a transaction or issue.

With more than three decades’ experience, including financings for projects or clients in the United States, Europe, Latin America, and Asia, Joel knows what it takes to drive a challenging transaction or other business objective across the finish line while adhering to the client’s views on proper risk allocation.

Frequently called upon to provide a corporate law perspective on complex dispute resolution–related matters, Joel offers a broad legal skillset and an in-depth understanding of various industries and complex financial structures and instruments. He adeptly identifies and resolves areas of potential contention and deploys the diplomacy required to negotiate sophisticated agreements and put forward win/win solutions, even when such negotiations appear to be at a standstill.

Joel also brings significant bankruptcy and restructuring experience to the table. He has protected or advanced clients’ rights in many complex, high-profile matters, including those involving American Business Financial Services, certain Argentine telecommunications companies, a Brazilian energy company, a U.S. renewable energy company, Calpine, Enron, Pacific Gas and Electric, a Panamanian toll road company, Port Imperial Ferry, Propex, and Sterling Chemicals.

Representing a construction company in connection with a variety of corporate and project matters, including acquisition financings.

Represented a construction company and its parent guarantor in connection with a public-private partnership highway transaction in the United States.

Represented a construction company in connection with a bid protest involving a public agency’s proposed award—to a competing bidder—of a construction contract valued at in excess of $1.4 billion.

Represented a developer in connection with the restructuring of a toll road financing in Panama.

Financial Services

Representing an indenture trustee, in connection with the American Business Financial Services bankruptcy proceeding and related matters.

Energy; Environmental Services

Represented a leading infrastructure group on a complex dispute and settlement process involving an eventual acquisition/restructuring, including international arbitration proceedings and Chapter 11 proceedings related to a cutting-edge renewable energy project in the United States.

Represented a developer in connection with the development and financing of a biogas renewable energy facility.

Represented a waste services company and its parent guarantor in connection with the development and financing of an organic waste processing facility.

Represented a leading aircraft manufacturer in connection with the negotiation of a powerhouse services agreement for its aircraft assembly facility project in the United States.

Represented a developer in connection with a project financing of a delayed coker/cogeneration facility in Chile (selected as project finance Deal of the Year” by Latin Finance).

Represented a global integrated oil/energy/chemical company in connection with the Calpine bankruptcy proceeding.

Represented a major financial institution in connection with the Enron Chapter 11 bankruptcy proceeding and a surety litigation matter relating to oil and gas prepay transactions.

Aerospace

Represented an Indian company in connection with the negotiation of supply contracts with both the commercial and defense divisions of a major aircraft manufacturer based in the United States.

Telecommunications

Represented a major telecommunications equipment vendor in connection with various vendor financings and restructurings, and in connection with various disputes involving the sale of pools of leasehold assets.

Represented the developer in connection with its proposed purchase of design, manufacturing and installation services associated with construction of an undersea fiber optic cable system.

Other

Represented the U.S. subsidiary of an Indian information technology company in connection with loan and securitization transactions.

Represented one of the world’s largest all-cargo airlines in connection with corporate aspects of the ASTAR citizenship case before the U.S. Department of Transportation.

Represented a major U.S.-based real estate developer in connection with the development of New Songdo City, Korea.

Represented a fund of funds in connection with its securities law and corporate matters.

Represented an institutional investor in connection with a restructuring of short-term notes collateralized by mortgage-backed securities.

Represented a Mexican company in connection with a dollar-denominated loan for the acquisition of an office tower.

Represented a New York Stock Exchange–listed company in connection with its privatization by the Government of India.

Represented a subsidiary of an Indian company, as holder of preferred stock in a Delaware corporation, in connection with a plan involving the complete liquidation and dissolution of such Delaware corporation.

Pro Bono

Represented two pro bono clients who lost their fiancés in the attack on the World Trade Center in connection with their successful efforts to obtain awards from the 9/11 Victim Compensation Fund and the New York Workers’ Compensation Board.
