Jessica Tarantine focuses her practice in a broad range of executive compensation and employee benefit matters.

Jessica advises clients on the design, implementation and administration of qualified and nonqualified retirement plans for not-for-profit and for-profit companies, top-hat plans, and church plans.  Jessica has experience drafting plan documents, SPDs and election forms, and advising on fiduciary issues related to the administration of qualified plans.  She assists with DOL audits, and plan terminations and mergers.  Jessica provides counsel on health and welfare plans, including cafeteria, insured and self-insured medical plans, dental and vision plans, disability plans, and severance plans.  She also advises on HIPAA issues related to welfare plans.  Jessica frequently assists on employee benefits and executive compensation due diligence for corporate M&A transactions.

Jessica’s executive compensation experience includes advising on incentive compensation plans, equity compensation awards, and non-qualified deferred compensation plans.  She regularly advises on 409A and 280G issues and counsels on and drafts employment and separation agreements for senior executives.
