Real Estate Finance
Represent commercial lenders, insurance companies, private equity firms and other financial institutions in connection with the origination, modification and enforcement of commercial mortgage loans, including term loans, lines of credit, construction loans, bridge financing, leasehold mortgage and subordinate debt, secured by most commercial property types throughout the United States, including hotel, retail, office, multi-family, industrial and residential properties.
Advise financial institutions in the negotiation of co-lender, participation and intercreditor agreements.
Represent commercial lenders and special servicers with respect to workouts, restructurings and foreclosures of distressed loans, loan sales and deeds in lieu of foreclosure.
Corporate Mergers and Acquisitions
Represent companies and private equity firms in acquisition, investment and financing of companies owning, acquiring and developing commercial real property interests throughout the United States, including industrial, office, retail, airport, mineral interests, leases and other types of commercial properties.
Advise on matters related to the acquisition and disposition of energy projects and interests therein.
Project Infrastructure and Finance
Represent clients in all aspects of the development and finance of domestic and international energy infrastructure projects and real estate projects, including power generation facilities, renewable energy projects (wind, solar, biomass and storage), chemical and petrochemical facilities, terminals, transportation facilities, transmission facilities (including submerged transmission lines) and real estate projects.
Represent sponsors, developers, utilities, contractors, governmental entities, insurance companies, commercial lenders, private equity firms and other financial institutions.
Real Property Acquisitions and Sales
Represent commercial entities and individuals in real property acquisitions and dispositions throughout the United States.
Represented hotel owner-operators in the acquisition, sales and financing of multiple-hotel portfolios throughout the United States.
Represent foreign investors in commercial office building and residential investment acquisitions of real property in New York City.
Advise and assist trust and estates attorneys on dispositions of real property and estate planning matters.
Negotiate leases and related agreements, including ground, office, retail, restaurant and industrial leases, on behalf of commercial landlords and tenants.
Represent owners and tenants in negotiation of architects’ agreements, general contractors’ contracts, resolution of disputes and other construction and development-related matters.
Development Rights Acquisitions and Sales
Represent real estate owners and other parties in connection with development rights sales.
