Barbara Shachnow represents investment banks, commercial banks, private equity funds, insurance companies and other institutional lenders, as well as institutional real estate investors and developers, in the acquisition, disposition, financing of and investment in commercial real estate in all asset classes. She also advises on the workout and restructuring of troubled real estate loans and investments.
Barbara’s clients benefit from her more than three decades of experience in all aspects of commercial real estate practice, with particular emphasis on real estate structured finance, mortgage and mezzanine lending, construction lending, preferred equity investments and joint venture transactions. With real estate finance experience that is truly broad, deep and far-reaching, there is practically no deal structure that Barbara has not seen, negotiated, documented and closed.
For example, Barbara represented a major commercial bank on an NY construction loan for a mixed-use project that was partially on a ground-leased parcel and involved air rights and TIC interests, and was lead counsel to a real estate private equity fund on an NY construction loan for a full-service hotel involving ground lease and franchise agreement issues. Barbara also successfully navigated an insurance company fund investor through a mortgage/mezzanine hybrid financing for the construction of a hotel in Pennsylvania involving several tiers of mortgage and mezzanine loans, tax incentive financing and EB5 investments, as well as complex intercreditor issues.
Barbara’s experience also includes the representation of real estate private equity funds on many mezzanine loan originations, loan participations and co-lender arrangements involving office, retail, multifamily and hotel assets, which require the negotiation of complex intercreditor, co-lender and participation agreements. Additionally, she has counseled several prominent investment banks in connection with single asset and portfolio financings for CMBS execution.
