Kelley Drye's Japan Practice Group, with the support of the Firm's other multi-disciplinary areas of practice,
provides a full range of legal services in three primary categories: representation of Japanese clients and their
U.S.-based affiliates on inbound matters; representation of U.S. clients on outbound matters; and representation of
Japanese clients on their activities in third countries. The Group has also represented U.S. and foreign clients in
various transactional matters involving Japanese parties. Lawyers in the Japan Practice Group have the talent and
ability to bridge cultural differences, helping to smooth communications and saving time and expense for their clients.
The Japan Practice Group has a long history of providing legal advice and services to Japanese businesses and financial
institutions with investments or operations in the United States. Lawyers practicing in the Group have particular expertise
in corporate and commercial transactions, including M&A, joint ventures, licensing and strategic alliances; financing transactions;
real estate transactions, including development and related financing, as well as purchase, sale and leasing; antitrust and trade
regulation matters; labor relations and employment discrimination; and litigation, arbitration and alternative dispute resolution.
We serve a General Counsel function for many clients that do not have their own internal legal departments in the United States,
providing full scope advisory services and training with respect to legal compliance and related U.S. customs and practices.
The practice of the Group with respect to outbound matters is largely transactional. The bilingual and bi-cultural capabilities
of the lawyers in the Group have proven of particular value to U.S. clients involved in M&A, joint ventures and other significant
transactions in Japan for which the Group partners with local counsel.
Like our practice involving outbound matters, the Group's activities on third country matters are directed principally towards significant
transactional matters, such as infrastructure development and financing, M&A and joint ventures. We combine the transactional experience and
skills of Kelley Drye lawyers and our excellent network of foreign law firms to provide our clients with superior and cost-effective support on
cross-border transactions. We have particularly significant experience in representing Japanese clients in connection with their business activities
in India, working closely with the Firm's India Practice Group and Mumbai affiliate office.
Clients of the Japan Practice Group have access to Kelley Drye's expertise in a broad array of practice areas, including mergers and acquisitions,
antitrust, customs and international trade, litigation and arbitration, labor,
tax, bankruptcy, governmental relations, environmental and intellectual property.
Several members of the Japan Practice Group are fluent in Japanese.
