The Corporate Finance and Securities Practice Group represents underwriters,
placement agents or issuers (foreign and domestic) in connection with public
and private offerings, ranging into the hundreds of millions of dollars. In
addition to these offerings, we represent issuers, shareholders, directors and
officers, broker-dealers and other market professionals in connection with compliance
with reporting, registration and other requirements under federal and state
securities laws.
The Financial Institutions Practice Group represents domestic and foreign financial
institutions, their holding companies and affiliates and major non-bank financial
companies encompassing the entire scope of permissible bank and non-bank activities.
Such activities have included bank and commercial lending, secured and unsecured
lending, asset based lending, leasing, project finance, structured finance,
asset securitization, debt and equity securities offerings, trust services and
regulatory counseling and representation before federal and state agencies.
We also represent non-financial corporate clients in all of their lending and
borrowing requirements, including unsecured and asset based lending, leasing
and securitized transactions.
The Mergers and Acquisitions Practice Group regularly represents a broad range
of domestic and foreign industrial corporations and financial institutions in
their mergers and acquisitions-related transactions, which encompass an equally
broad range of industries and businesses. Our attorneys are most often involved in
transactions at an early stage and provide advice regarding the development of
strategies for achieving our clients' business objectives, structuring the
transaction and addressing financing arrangements when required.
The Private Equity Practice Group represents venture capital, private equity and other investment funds
investing in or acquiring portfolio companies and companies seeking capital
from such funds. We pride ourselves on our business sense, availability, responsiveness
and the consistent quality of the efficient and cost-effective services we provide.
Kelley Drye partners stay involved in the day-to-day interaction with each client
and are available consistently to resolve issues and accelerate progress to
closing each transaction related to that client's business. This level of partner
involvement is intended to ensure that our efforts are results oriented.
The Project Finance and Infrastructure Practice Group has been providing legal
advice and assistance in connection with the structuring, financing and implementation
of complex foreign and domestic energy, infrastructure, telecommunications,
natural resources, environmental and industrial projects and transactions for
over 20 years. The Group has acted as legal counsel in hundreds of projects
located in Asia and the Pacific Rim, the Caribbean Basin, Africa,
the Middle East, Europe, North and South America, as well as throughout the United
States. These projects have involved project and limited recourse financing and other
asset-based financing techniques, such as leveraged leases, BOO/BOT and securitization structures.
Our attorneys have performed these matters on behalf of sponsors, lenders, lessors, rating
agencies, equity investors, financial advisors and foreign sovereigns.
