Ms. Zerjav advises clients on executive compensation matters, including deferred compensation, supplemental executive retirement plans, incentive plans and equity-based compensation (including securities laws issues) and employment and severance agreements.
Ms. Zerjav also advises clients on employee relations and benefits aspects of mergers and acquisitions, including purchase agreements, change of control and golden parachute issues, due diligence, treatment of sellers’ plans, and integration of acquired employees and plans into acquirers’ plans.
Ms. Zerjav counsels clients on employee benefit plan compliance with the Internal Revenue Code, ERISA, HIPAA and state benefits laws, including fiduciary issues in investments, administration and operation of plans, relationships with third party administrators and privacy related concerns.
