Mr. Lury has particular experience with cross-border M&A, production and sales joint ventures, and strategic alliances. His upbringing in Japan, fluency in the Japanese language, and decades of immersion in Japanese business practices has given Mr. Lury unique sensitivity to cultural differences. His background enables him to successfully guide U.S., Japanese and other foreign businesses through difficult cross-cultural negotiations and to devise solutions to problems that have helped to bridge differences and build or salvage important business relationships.
Mr. Lury has represented clients in a number of diverse fields, including industrial plants, machinery and equipment, electronics, and industrial and specialty gases. He spends a significant portion of his time advising Japanese businesses and their U.S. affiliates on legal matters affecting their operations in the United States and serves as the de facto general counsel for several clients. In this capacity, Mr. Lury regularly advises his clients not only on transactional matters, but also in connection with antitrust, bankruptcy, labor and employment and environmental matters, as well as commercial disputes.
Representative Experience
Represented a major Japanese industrial gas company in connection with its purchase of assets and businesses in the United States and Europe relating to the sourcing and distribution of helium, including guiding the company in negotiations with the German seller and in regulatory clearances by the Federal Trade Commission and the European Commission.Advised the U.S. subsidiary of a Japanese industrial gas company in its acquisition of a major independent producer/distributor of industrial gases in the Midwest.
Advised an Italian manufacturer of packaging equipment for the pharmaceutical industry in connection with the reorganization of its subsidiaries in the United States to achieve greater tax and operational efficiencies.
Assisted a Japanese heavy machinery and equipment manufacturer in connection with the merger and restructuring of its affiliated businesses in the United States.
Advised a Japanese ceramics manufacturer in connection with the acquisition of its U.S. distributor.
Advised an Italian manufacturer of packaging equipment for the pharmaceutical industry in connection with a production and distribution joint venture in the United States with a Spanish company. Subsequently advised the Italian company in connection with its acquisition of the U.S. subsidiary of a UK company in the same field.
Represented the U.S. subsidiary of a Japanese industrial gas company in connection with its purchase from a major French company of several air separation plants and related distribution assets in Louisiana, Mississippi, Texas and California.
Represented a major Japanese industrial gas company and its U.S. subsidiary in connection with the formation of a joint venture with a German industrial gas company for the distribution and sale of specialty gases and equipment to European semiconductor businesses. Subsequently represented the client in its acquisition of the shares of its German partner from the French company that had purchased such shares and in the resale of such shares to another German company with the approval of the European Commission.
Represented a Japanese manufacturer of machinery and equipment in connection with its acquisition from a Pennsylvania-based company of assets related to the manufacture of cryogenic pumps and related equipment.
Represented a major U.S. chemical company in the negotiation and documentation of a joint venture with two Japanese chemical companies for the construction and operation of a new specialty chemicals production plant in Texas.
Represented a Japanese-owned consumer products company in connection with the sale of controlling equity interests in its U.S. and Canadian business units to its Hong Kong-based principal supplier.
