Ms. Norkus represents clients in a wide variety of transactional matters, including the sale and purchase of assets and stock of both U.S. and international companies. She also represents clients in connection with debt and equity financing, including representing issuers and investors. Her experience ranges from early stage venture financing to more traditional private equity fundings. She assists clients in preparation for financings, including preparing private placement memorandums. She also represents clients in general corporate matters, including negotiating and drafting employment agreements and commercial agreements (e.g., marketing and distribution agreements and supply agreements) and advising about governance issues and formation of entities.
Ms. Norkus also has experience in government contracts, representing an international manufacturer of defense-related components in the negotiation of U.S. government subcontracts.
