Jay Schifferli is a partner in the firm’s Washington, D.C. office and chair of the Private Equity practice group. His practice focuses on private equity and venture capital; mergers, acquisitions and joint ventures; public and private securities offerings and compliance; investment management/investment partnerships; and general corporate, securities and business matters.
Mr. Schifferlil was general counsel and executive vice president for Strategic Business Development, NX Networks, Inc. from 2000 to 2001.
Represented public and private companies, private equity and venture funds, portfolio companies and investor groups in stock and asset acquisitions and divestitures, tender offers, exchange offers, "going private" transactions and related financings.
Represented public companies and investor groups in compliance with SEC disclosure and reporting obligations and corporate governance, including Sarbanes-Oxley compliance.
Represented underwriters, placement agents, issuers and lead investors in public and private securities offerings, including common stock, ADRs, preferred stock, debt securities, convertible securities, pass-through certificates and partnership interests offered in the United States and internationally.
Represented investment managers and investment funds in establishing arbitrage funds, hedge funds and other private investment partnerships, both in the U.S. and off shore, and in compliance with the Investment Advisers Act and exemptions from registration under the Investment Company Act.
Formed corporate, LLC, partnership and contractual joint ventures, both domestic and international.
