Frederic Rubinstein is a partner in the firm's New York office. He focuses his practice on emerging growth companies and venture capital transactions.

Mr. Rubinstein has acted as counsel to major venture funds, investment groups and their principals in private placements of equity and debt. In this capacity, he deals with internal venture fund matters, securities laws concerns such as private placement memoranda, and acquisition, distribution and marketing issues.

Mr. Rubinstein also has acted as counsel to emerging growth and middle-market companies in their formation, early-stage and mezzanine financing (equity, debt and lease financing), protection of intellectual property, employment and compensation issues, and distribution, licensing, franchising and leasing activities.

In addition, Mr. Rubinstein has acted as counsel to major venture groups and to companies in fields such as telecommunications, software, biotechnology, fiber optic technology, 3D seismic oil and gas exploitation, automobile technology, technology publishing and conferences, equipment leasing, cogeneration maintenance, consulting, toy manufacturing and distribution, and franchising.

Mr. Rubinstein's clients include those involved in "senior partnering" and "strategic alliance" transactions.
Representative Experience
Represented the principals of a major venture capital fund in the formation of their initial venture funds.

Formed a biotechnology and pharmaceutical venture fund.

Represented major venture capital funds in numerous convertible preferred financings, including those of Compaq, Lotus Development, Ciena and Landmark Graphics.

Represented a toy manufacturer in acquisition negotiations by Hasbro.

Represented executives of an equipment leasing company in their buy out of their employer and in their equipment leasing transactions.

Represented numerous prominent NBA players in contract negotiations.

Represented a film distribution company in the acquisition of numerous foreign films.
