Mike Ryan is a partner in the firm's Chicago office. He focuses his practice on a variety of complex transactional matters.
Mr. Ryan's experience encompasses information technology and business process outsourcing transactions; software development and implementation agreements; intellectual property licensing transactions; and mergers, acquisitions, joint ventures/strategic alliances and equity investments. Mr. Ryan also acts in a general counsel capacity for a number of privately held companies.
Mr. Ryan has particular experience advising clients on transactions with an international scope, including working with the firm's closely affiliated office in Mumbai, India.
Mr. Ryan is a frequent speaker on technology and outsourcing-related topics, including programs sponsored by the Practising Law Institute, Sourcing Interests Group and Insight Information. |

Representative Experience:
Business Process & Information Technology Services:
Negotiated a master business process services agreement between a top-ten U.S. bank and one of the largest BPO providers in the world.
Represented the world's largest supplier of blood-related products and services in a global finance & accounting services transaction with one of the leading India-based service providers.
Represented a leading global consulting firm in its agreements to build and operate the membership accounting function for the Medicare Prescription Drug Plan of a major health insurer, including the provision of help desk services from Canada and accounting services from the Philippines.
Represented a major credit fraud center in connection with agreements for a large telecommunications company to provide mail operations, an automated phone system and a Web site for use by consumers requesting free credit file disclosures.
Represented a U.S.-based multinational corporation in the outsourcing of its global procurement function in Canada, England, Ireland, Germany, France and Switzerland.
Counseled clients engaged in a variety of information technology and application maintenance agreements, often utilizing global service delivery models, including transactions involving Aetna, Aon, Alltel, Dow Chemical, DuPont, Johnson & Johnson, PricewaterhouseCoopers and Sprint.
Technology Contracting:
Represented a major mid-western U.S. city in its agreements for implementing Oracle's ERP solution.
Negotiated the agreements for one of largest SAP implementations ever conducted.
Represented the world's largest supplier of blood-related products and services in licensing and implementing SAP globally.
Represented a financial services firm in an application service provider arrangement for receiving trading analysis and data processing services.
Represented an application service provider in its agreement with Wells Fargo.
Represented a financial market intelligence service provider in its software development agreements.
Represented a bank holding company in an agreement for Metavante to provide data processing services and e-banking functionality.
Acquisitions and Dispositions:
Represented a manufacturer of electrical home appliances in the sale of its tabletop products division to Lifetime Brands, including assistance with related licensing arrangements.
Represented a leading supplier of connectors and interconnect components in its acquisition of numerous early stage technology companies.
Represented a provider of technology to automate trading relationships in its acquisition of Maverick Xchange and the subsequent sale to iTradeNetwork.
Represented an internet related business developer in the acquisition of a point-of-sale software provider in Brazil and the British Virgin Islands.
Represented a global management consulting company in its sale of a mainframe data processing facility to General Electric Capital.
Joint Ventures:
Represented a major credit fraud center in a joint venture among the three national credit reporting agencies to develop an innovative consumer credit risk score.
Represented a major credit fraud center in the formation of a company created by the three national credit reporting agencies to facilitate their compliance with the Fair and Accurate Credit Transactions Act.
Represented one of the world's largest fast food restaurants in the formation of a company created to develop technology to automate distributor-manufacturer trading relationships in the foodservice industry.
Represented a university and the university's medical center in the creation of an integrated healthcare delivery system in Illinois. |
