Sarah Reid is a partner in the firm's New York office and the senior woman partner in the firm. Ms. Reid is the chair of the Diversity and Inclusion Committee. She focuses her practice on complex commercial litigation.
Ms. Reid has extensive experience in all aspects of commercial litigation, including jury and bench trials, alternate dispute resolution and bankruptcy-related litigation. She has argued appeals before numerous appellate courts, including the U.S. Supreme Court.
Ms. Reid has a particular concentration in the representation of financial institutions with respect to defaulted securities, securities litigation, ERISA and trust advice. She has represented academic healthcare institutions for many years. Ms. Reid presently is representing a pharmaceutical company in connection with nationwide pricing litigation and a major oil company in connection with environmental claims brought in Greenpoint, N.Y. |

Representative Experience:
Represented an indenture trustee in four series of senior debt issued by Calpine Corporation (Calpine), in a recent action brought by Manufacturers & Traders Trust Company (M&T), the indenture trustee of junior debt issued by Calpine. M&T commenced the action in a New York state court seeking a declaratory judgment that, among other things, the holders of the senior debt were not entitled to payment of any post-petition interest prior to any payment being made to the holders of the junior debt. Reached a favorable settlement on behalf of our client.
Defending a large generic drug manufacturer in nationwide AWP pricing cases brought by the Department of Justice and state Attorney Generals.
Representing a major bank, as indenture trustee, in proceedings to determine rights under subordination agreements arising out of the Bank of New England and Calpine bankruptcies.
Defending BP North America, Inc. in civil environmental actions brought in Greenpoint, N.Y., relating to a large oil spill.
Representing a corporate investor that suffered losses from the Madoff-related Ponzi scheme.
Representing JPMorgan Chase Bank, as trustee of the National Tobacco Growers Settlement Trust.
Represented BP entities in an emergency application to enjoin draw-down of a letter of credit in the Lehman Bros. bankruptcy. Matter was resolved favorably for the client.
Advised a Fortune 500 client concerning rights to withdraw ERISA assets from an investment fund.
Represented a major bank, as indenture trustee, in prosecuting and settling litigated claims in the Calpine bankruptcy for benefit of the noteholders.
Represented JPMorgan Chase Bank, as indenture trustee, before the U.S. Supreme Court in successfully defending a $100 million judgment obtained by the bank.
Represented JPMorgan Chase Bank in a month-long state court trial in Texas involving breach of fiduciary duty claims brought by distressed debt noteholders. The case settled favorably for the client.
Represented JPMorgan Chase Bank as part of trial team in a lawsuit against 11 insurance companies seeking recovery of more than $1 billion under surety bonds that supported certain commodity sales transactions involving Enron. The case settled favorably after a month-long trial.
Obtained summary judgment on behalf of an independent director sued by a creditors' committee for breach of fiduciary duty.
Obtained a defense verdict in the jury trial of a former CEO of a software company in a 10b-5 class action.
Advise New York Medical College on academic and healthcare issues. |
