Mr. Insel's practice focuses on trusts and estates; tax; closely held businesses - in corporation or partnership form; and valuation issues for tax matters and domestic relations. Mr. Insel is the Chair of the Private Clients Practice Group.
 
Representative Experience:
Representation of an American family with substantial business holdings in the United States and Europe including planning for the incompetency of the founder of the family's businesses, administration of the founder's estate, including a successfully concluded valuation dispute with the Internal Revenue Service over the principal family business and ongoing services in connection with supervision of the family's multiple operating entities in the United States and abroad.

Advice to the owner of a closely-held business as to estate and financial planning, including advice with respect to the possibility of a public offering and negotiations to bring in a professional (non-family) chief operating officer.

Representation of the estate of a minority shareholder in a closely-held manufacturing company including negotiating a favorable buyout price in conjunction with another minority shareholder and then successfully obtaining agreement from the Internal Revenue Service to a substantial discount of the proceeds received for estate tax purposes.

Representation of an estate of a minority shareholder in negotiations with other shareholders of a closely-held manufacturing company in order to assemble majority control to remove certain transfer restrictions.

Represented beneficiary (surviving spouse) of a trust, the principal assets of which consisted of major holdings of real property outright and in partnership form in connection with the dispute with the trustees as to the management of the underlying properties and the allocation of receipts between principal and income resulting in the successful removal of an antagonistic trustee and replacement of said trustee with one chosen by the beneficiary and the payment of a substantial sum to the beneficiary for improperly withholding income.

Representation in connection with the valuation of substantial non-public venture capital and other non-liquid type investments in connection with negotiations for a post-nuptial division of property among spouses.

Representation of several American families in connection with major insurance purchases at negotiated prices as part of coordinated multi-generational estate planning.

Representation of the estate of a major American composer including a successful conclusion of a valuation dispute with the Internal Revenue Service as to certain royalty interests and continued advice as to the operation of family holdings.

Service on and advice to numerous charitable foundations, public and private, and general advice as to their legal problems.

General representation in connection with estate and tax planning of numerous private individuals of substantial means including services as a fiduciary of numerous estates and trusts.
